YOGA CLUB INDEPENDENT TEACHER AGREEMENT
Teacher/Instructor Agrees to the Teacher Agreement that follows:
This Agreement is entered into as of the above mentioned signed date between:
• Michael Joel Hall (hereinafter referred to as “Host” or “Founder”), the Founder of Yoga Club, located at 1418 14th Street NW, Washington, DC 20005, and
“Teacher/Instructor.”
WHEREAS, Host agrees to provide the Instructor with access to the Yoga Club’s facilities to host classes, workshops, or other yoga-related events under the following terms and conditions:
1. Term of Agreement
• The term of this agreement shall commence on ___________ (start date) and continue for an initial period of three (3) months, renewable for additional three-month intervals unless terminated as set forth herein.
• Renewal will occur automatically unless either party provides a written notice of termination at least thirty (30) days before the end of the current term.
2. Room Usage Rates
• The initial room usage rate for hosting classes at the Yoga Club is $300 per month for the first six (6) months or until the Instructor has enrolled nine (9) members, whichever comes first.
• Upon reaching six (6) months or nine (9) members, the room usage rate will increase to $400 per month.
• After one (1) year or upon enrolling fourteen (14) members, whichever comes first, the room usage rate will increase to $500 per month.
• The room usage rate will be subject to annual increases consistent with the rate of inflation, as measured by the Consumer Price Index (CPI) for the Washington, DC area.
Rental of an additional time slot will provide a 20% discount on both days based on their current rent.
3. Room Usage Payments
• Room usage payments shall be due on the first day of each calendar month. Instructors are responsible for making timely payments to the Yoga Club.
• Late payments will incur a fee of 10% of the monthly rate if not received within seven (7) days of the due date.
4. Membership and Class Management
• The Instructor is responsible for managing class registration, including collecting payments from students and enrolling members into their respective programs.
• The Yoga Club will provide a platform for scheduling classes, but the Instructor must ensure they reserve and pay for time slots in advance using the Yoga Club’s hall room usage form.
• Instructor must maintain accurate records of class attendance and membership growth, reporting monthly enrollment to the Host.
5. Inflation Adjustment
• Room usage rates will increase annually based on the inflation rate, measured by the Consumer Price Index (CPI). The new room usage rate will be communicated to the Instructor at least thirty (30) days before it takes effect.
• Any such increase will be proportionate to the rise in inflation for the previous year.
6. Responsibilities of the Instructor
The Instructor is responsible for:
• Conducting all classes in a professional and respectful manner that aligns with the values of the Yoga Club.
• Maintaining liability insurance throughout the term of this agreement, providing proof of insurance upon request.
• Keeping the studio clean and orderly after each class or event.
• Ensuring compliance with all Yoga Club policies and guidelines, as communicated by the Founder.
7. Termination
• Either party may terminate this agreement by providing thirty (30) days’ written notice before the expiration of any term.
• The Host reserves the right to terminate this agreement immediately for cause, including, but not limited to, non-payment of rent, failure to comply with studio policies, or misconduct by the Instructor.
• Upon termination, the Instructor must remove all personal belongings and cease conducting classes at the Yoga Club.
8. Indemnification
• The Instructor agrees to indemnify, defend, and hold harmless the Host and the Yoga Club from any and all claims, liabilities, damages, and expenses (including attorney’s fees) arising out of or related to the Instructor’s use of the studio, including but not limited to any injuries sustained by students during the Instructor’s classes.
9. Governing Law
• This agreement shall be governed by and construed in accordance with the laws of the District of Columbia.
10. Entire Agreement
• This agreement constitutes the entire understanding between the parties. Any amendments or changes must be made in writing and signed by both parties.
By signing above, both parties acknowledge their acceptance of the terms of this agreement.
